This Agreement is Made Between Sumner Social, LLC (“Licensor”)

and _______________ “(Licensee”)

Licensor owns the Jack Sumner Sales & Marketing University product 100K Blueprint; including related copyrights, trademarks and business methods; Licensor is in the business of licensing the Products to companies in various markets for the purpose of training and education. Licensee wishes to obtain a license to use the Products for the term of this Agreement. Licensor hereby grants Licensee limited use to the Products for internal use only. The training license becomes active upon first payment then continuing for the term checked below thereafter. All payments are due on the same day the agreement is signed each month until paid in full.

This Agreement is entered into and effective as of the first date written below:

1. Grant of Rights

Licensor hereby owns all trademarks and service marks associated with the products, including Jack Sumner’s Sales and Marketing University. Licensor owns all rights and title to copyrights in the Jack Sumner’s Sales & Marketing University, the techniques and the instructions (“Works”); and the Licensor is the owner of all processes, patentable or otherwise in the Products as a business method (‘Methods”): Licensor hereby grants Licensee a limited use license in the right to use the Works and Methods for the term if this Agreement and under the terms of this Agreement. Any training logos, trademarks, Works or other custom content added by Licensee, remains the property of Licensee.

2. Terms and Termination

This is a legally binding contract for the term provided herein. The licensee may use the Jack Sumner’s Sales & Marketing University during the term of this agreement only. After the termination of this Agreement, Licensee agrees that it will not use the Jack Sumner’s Sales & Marketing University, or any similar variants of the same. Licensee also agrees to delete any electronically stored copies of the Jack Sumner’s Sales & Marketing University or related materials from any computer or system within the control of the Licensee. If the account becomes delinquent (7) days, services, including access to licensed material, will be suspended until payments on the account are brought current.

Early Termination: In the event that licensee determines the purchase of this program was not the right decision, licensee agrees to contact our support team at billing@sumnersocial.com. We will review it and attempt to help correct the issue. Cancellation of this contract is in the full and complete discretion of Sumner Social LLC. Since Sumner Social is offering non-tangible irrevocable goods, refunds are subject to eligibility and approval by Sumner Social LLC. No refunds will be issued for previous payments if licensee purchased the program using a payment plan.

To receive consideration for a full refund ALL of the following criteria must be met:

You have not been on-boarded or completed any service including the use of Jack Sumner’s Sales & Marketing University, attended training, drills, or masterminds.

Partial refunds of 50% will be granted where:

Unsatisfactory or inadequate service from Sumner Social Supervision and Training Staff, AND you have acted upon the guidance of the Corrections at Sumner Social, whose purpose is to help resolve any technical issues or divergences with delivery issues.

As a customer, the licensee is responsible for understanding terms and conditions of this agreement.

3. Indemnify, Confidentiality, Non-Circumvention

Licensee agrees to identify and hold Licensor harmless against any loss expense, or damages incurred by the Licensor because of claims relating to or arising from Licensee’s conduct, including without limitation (a) any break of this Agreement by Licensee; (b) any illegal violation of the intellectual property rights of any third party under copyright, trademark or patent law of the United States or any other country, Licensee agrees to safeguard Licensor’s Confidential information to the best of their ability from unauthorized disclosure, access, use, and misappropriation.

4. Entire Agreement

This agreement is the entire agreement of the Parties related to the subject matter hereof, and supersedes and all prior representations, negotiations, agreements and understandings, written and/or oral between the Parties.

5. Notices

All notices shall be in writing and shall be addressed to Licensor, to email billing@sumnersocial.com

6. Amendment

This agreement may not be amended, modified, or changed in whole or in part, except by a written agreement signed by the Parties.

7. Legal Dispute

In the event a legal dispute arises, the Licensor shall have the right to collect from the licensee its reasonable costs and necessary disbursements and attorney’s fees incurred in enforcing this agreement. In the event of such a dispute, the parties agree that this Agreement would be interpreted in accordance with the laws of the State of North Carolina (understanding laws are interpreted differently from state to state).

8. Payment and Financing

The total due for the $100K Blueprint Intro is $2,000. If Licensee decides to obtain financing selected in form below, licensee shall pay the total amount received through financing up to $2,000 upon receipt of financed funds. Any balance due shall be paid at a minimum of $250 per month until balance is paid in full.
